This Website, Connectle, Connectle.com, the Connectle NetWORK, our Connectle Cons and all Connectle Services and Social Channels are operated by Connectle Ltd, NZBN 9429042555551.

Throughout the site, the terms:

• "The Company", "Connectle", "Connectle Con", "Connectle NetWORK", "Connectle.com", “we”, “us” and “our” refers to Connectle Ltd, Connectle, its subsidiaries, parent companies and/or affiliates.

• "You", "you", "your", "Members", "Participants", refers to the user, member, participant or viewer of our Services, NetWORK and Website.

• "Website", "the Website", "Site", "Connectle" and "Connectle.com" refer to the content and services available from Connectle and from within our Services.

• "Service", "Services" refers to any of the services and offerings available within Connectle, including "Connectle", "Connectle.com", "NetWORK", "Connectle NetWork", "Circle", "Cowork", "Colearn", "Colabs", "Connectle Con", "Connectle Circle", "Connectle Cafe", "Connectle Inspire", "Discussions", "LIVE Discussions", "Event", "Events", "Community", "Social Channels".

• "Content" refers to all content within the Website, the NetWORK, our Social feeds and Services, including chat, video, discussions, comments, text, graphics, audio and member information.

• "Terms", "Terms and Conditions", "Terms of Services", "Terms of use", "Policies" and "The Terms" refer to these Terms.

• "Social Channels" refers to all social networks, including but not limited to; Facebook, Instagram, Google+, Twitter, LinkedIn, SnapChat, Zoom, Qiqichat, Mighty Networks.

1. OVERVIEW

1.0 Welcome. Connectle is a supportive ecosystem, where members participate to develop and connect their work. The success of Connectle is dependent on the commitment each of you make, to develop and grow this trusted community. To support you in connecting your work, we have developed our manifesto, our guidelines and the following Terms (including our privacy statement).

1.1 Please read these Terms carefully before accessing or using our Services. By accessing or using any part of our Website or Service, you agree to comply with and be bound by the following Terms, which together with our manifesto, guidelines and privacy policy govern Connectle's relationship with you. In addition you agree to comply with and be bound by all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. These Terms apply to all users of the Website, including without limitation users who are browsers, members, partners, sponsors, vendors, customers, volunteers, merchants, and/ or contributors of content. 

1.2 If you do not agree to all the Terms of this agreement, then please do not user our Website, NetWORK, Social Channels and/or any of our Services.

1.3 If these Terms are considered an offer, acceptance is expressly limited to these Terms. These Terms are a binding agreement between you and Connectle Ltd and are in addition to any other agreement between you and Connectle. We may modify these Terms at any time without prior notice. 

1.4 Any new Content, Services, features or tools which are added to the current offering shall also be subject to the Terms. You can review the most current version of the Terms at any time on this page. We reserve the right to update, change or replace any part of these Terms by posting updates and/or changes to our Website. It is your responsibility to check this page periodically for changes.

1.5 Your continued use of or access to the Website, Services, Social Channels and/or NetWORK following the posting of any changes constitutes acceptance of those changes.

1.6 Connectle offers this Website, the NetWORK, Social Channels, including all information, tools and Services available from this site to you, the user, conditioned upon your acceptance of all Terms, conditions, policies and notices stated here.

4. Access

4.0 Connectle reserves the right to decline or refuse access or enrolment to any person or company who is deemed to be unsuitable for any reason, at its sole discretion. All membership/participation decisions are final, no correspondence will be entered into and a refund will be provided to any person who attempts to sign up and is deemed unsuitable. This is separate from membership cancellations after acceptance of which there are no refunds.

4.1 We reserve the right to terminate your access and/or remove you from our Website, NetWORK, Services or Social Channels without notice, for any reason, including but not limited to:

• you are in default of any payment obligation, including your payments not being able to be processed by third party providers;

• you sell or redistribute our Content to any other person without our authorisation;

• you provide access to the Content by providing your details to another person without our knowledge and express permission

• you provide us information that is untrue, inaccurate or incomplete. If any changes to your information occur, you must notify us of those details as soon as possible.

• you breach any of our Terms, or the Guidelines

• you act in an unprofessional or inappropriate manner

• you share inaccurate and untruthful information about yourself and your experiences

 We have the sole discretion to make decisions about whether you have breached these Terms and guidelines.

4.2 You specifically acknowledge and agree that Connectle is not liable for any defamatory, offensive or illegal conduct of any user. If you are dissatisfied with the Website, NetWORK, Social Channels, materials, products, Services, or discussions, or with any of these Terms, your sole and exclusive remedy as against Connectle is to discontinue using the Website, NetWORK, Social Channels and the Services.

4.3 You are responsible for all access to our Website, NetWORK, Social Channels and Services through the use of your own username(s) and password(s). You must keep your access details confidential and notify us immediately if you become aware of any unauthorised use of your accounts.

4.4 You must not allow any other person or entity access into your member areas. If you are or are likely to be in breach of this, we may with or without notice, suspend you or cancel your membership and access. If we suspend your access, we may impose any conditions for your future use of our Website, NetWORK, Social Channels or Services as we believe necessary. 

4.5 By registering for the NetWork, Social Channels, or one of our Services, you warrant that you have the necessary technology, including a computer that has Internet access and speakers connected that can play audio from the computer. Connectle will not be responsible for assisting you to access the Content of the Website, the NetWORK, Social Channels or any of the Services.

5. Payment

5.0 Prices, unless otherwise stated, are in US dollars.

5.1 All prices are subject to change.

5.2 Any fees and charges incurred as a result of foreign currency transfers in order to pay these fees are at your own expense. Connectle will not be liable or offer a reduction in the fees as a result of charges you incur. 

5.3 Connectle, its subsidiaries, parent companies and/or affiliates shall not be liable for any direct, indirect, incidental, special or consequential damage or loss (including liability for loss of profits, loss of business opportunity, loss of reputation, loss of savings, loss of bargain or loss of data) that result from the use of, or inability to use the Website, the NetWORK, Social Channels and the Services including all of its materials, products, or third party materials, products or services, made available through the Website, NetWORK, Social Channels and/or Services, even if we are advised beforehand of such damage or loss. In any event, Connectle’s liability under these Terms (if any) is limited to the total amount paid by you to Connectle.

5.4 For participation in all Connectle Services, there are no refunds given for cancellations. 

6. Intellectual Property

6.0 This Website, the NetWORK, Social Channels and the Services associated with Connectle, contain material which is owned by or licensed to us. This material includes, but is not limited to, the Website, the NetWORK, the academy, Connectle Circles, Connectle Cafe, the colearns, Connectle Con, Connectle Inspire, events, discussions, videos, format, design, layout, look, appearance and graphics.  Reproduction is prohibited. The materials contained in the Website, NetWORK, Social Channels and/or Service  are protected by applicable copyright and trademark law. Unauthorised use of this Website, NetWORK, Social Channel and Services may give rise to a claim for damages and/or be a criminal offence. 

6.1 In addition, the Website, the NetWORK, Social Channels and Services associated with Connectle contain intellectual property owned by members, participants, facilitators and other people who contribute articles and other resources. You may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, distribute, display, reproduce or perform, or in any way exploit in any format whatsoever any of the content, in whole or in part, without the copyright owner’s prior written consent. 

6.2 All content, opinions, resources or information you contribute, must have the applicable copyright and other intellectual property rights stated, be owned by you, or have written permission from the copyright owner to be contributed.

6.3 We are not required to pay you for any content, opinions, resources or information you contribute in our Website, NetWORK, Social Channels or Services, unless otherwise previously agreed.

6.4 You retain the copyright and other intellectual property rights of any content, resources or information you submit for publication on our Website, NetWORK, Services or Social Channels, and you agree to give us full rights to use this content, opinion, statement, resource and information on our Website, within our NetWORK, in our Social Channels and within our Services. 

6.5 By visiting the Website, NetWORK, Social Channel, or accessing any of the Services, you acknowledge and agree that:

• The Website, NetWORK, Social Channels or Services are the Intellectual Property of Connectle and are protected by the Copyright Act and other applicable Intellectual Property laws. Connectle retains all Intellectual Property Rights to the information and services.

• The Website Content, NetWORK, Social Channels and Services are owned by Connectle and are intended for your personal, non-commercial use only.

• The Content on the Website, the NetWORK, the Social Channels and within the Services, including all discussions, chats, text, graphics, video, audio, conversations, member details, software code or logos, is not intended for distribution and you must not, unless explicitly authorised in these Terms, alter, modify, copy, republish, reproduce, transmit, post, rent, lease, sell, distribute, commercially exploit or create any derivative works.

• Connectle reserves the right to change the Content without notice.

• Connectle further reserves the right to add, remove or amend content on the Website, NetWORK, Social Channels and Services without notice.

7. Third Parties Links/Sites

7.0 The Website, NetWORK, Social Channels and Services may include third party links, presentations, websites, application, services and knowledge. We do not control the Content or accuracy of information in these. We do not in any way represent that the third party or source and their products or services are endorsed, checked or approved by us. These are provided for your convenience to provide further information or to support our users.

7.1 We have no responsibility for the availability of the links, the content of the linked website/application or services, or their compliance with law and we exclude all liability and responsibility for the content or operation of these third party websites or for any loss or damage that may arise from your use of them.

7.2 Your participation, correspondence or business dealings with any third party found on or through the Website, NetWORK, Social Channels or Services, regarding payment and delivery of specific goods and services, and any other terms, conditions, representations or warranties associated with such dealings, are solely between you and such third party. 8.0 Your use of this Website, NetWORK, Social Channels and Services and any dispute arising out of such use of Connectle is subject to the laws of New Zealand.
